11. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
12. Limitation of Liability
IN NO EVENT SHALL SALESTOOLS AI INC. BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICES.
13. Indemnification
You agree to indemnify and hold harmless Salestools AI Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Services.
14. Miscellaneous Provisions
Governing Law; Exclusive Jurisdiction: Our Terms will be governed by and construed in accordance with the laws of the State of Delaware, United States, without considering conflict of law principles. If a lawsuit or court proceeding is allowed under our Terms, you and Salestools AI Inc. agree that any such dispute will be litigated in the state or federal courts located in Delaware, United States, and you and Salestools AI Inc. submit to the personal and exclusive jurisdiction of those courts.
Export Controls: The Services may be subject to U.S. export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
